Terms of Service
These Terms of Service ("Terms") form a binding agreement between you and Looni Financial Inc. ("Looni," "we," "us," or "our") and govern your access to and use of the Looni website, applications, and services (together, the "Service"). Please read them carefully. They explain what you can expect from us and what we expect from you.
1. Acceptance of these terms
By creating an account, joining our waitlist, or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree to these Terms, you may not use the Service.
If you are using the Service on behalf of another person or an organization, you represent that you have the authority to bind them to these Terms, and "you" refers to that person or organization.
2. Eligibility
To use the Service, you must:
- be at least 18 years of age;
- be a resident of Canada;
- have the legal capacity to enter into a binding contract; and
- not be barred from using the Service under any applicable law.
If you do not meet these requirements, you may not use the Service. We may ask you to verify your eligibility at any time and may suspend or close accounts that do not qualify.
3. What Looni is (and isn't)
Looni is a financial optimization tool. We connect, with your permission, to your financial accounts on a read-only basis and surface insights, trends, and potential savings opportunities to help you understand and improve your money. That is the whole of what we do.
To be clear about what Looni is not:
- Looni is not a bank and is not a deposit-taking institution. We do not hold, custody, or insure your money.
- Looni does not move, transfer, send, or withdraw your money, and never will through the Service.
- Looni does not provide financial, investment, tax, accounting, or legal advice, and nothing in the Service should be taken as a recommendation to buy, sell, hold, or take any particular financial action.
All information, insights, and estimates provided through the Service are general and educational in nature. They may not account for your full financial picture or personal circumstances. Before acting on anything you see in Looni, you should consult a qualified professional, such as a licensed financial advisor, accountant, or lawyer.
4. Your account & security
To use most features, you must create an account and provide accurate, current, and complete information. You are responsible for keeping your account credentials confidential and for all activity that occurs under your account.
You agree to:
- choose a strong, unique password and keep it secret;
- notify us promptly at hello@loonifinancial.com if you suspect any unauthorized access to or use of your account; and
- not share your account or let anyone else use it.
We are not responsible for any loss or damage arising from your failure to safeguard your credentials, though we will work with you in good faith if a security issue arises.
5. Connecting financial accounts
Looni lets you connect your bank accounts, credit cards, and other financial accounts so we can analyze them on your behalf. This connection is established through trusted third-party data providers, including Plaid and Flinks, and it is strictly read-only.
When you connect an account, you authorize Looni and our data providers to access and retrieve your financial information from your institution for the purpose of delivering the Service. You represent that you have the right to grant this access for any account you connect.
Looni never has the ability to move, transfer, or withdraw your money through this connection. We only read your data to generate insights. You can disconnect an account at any time through your account settings, and we will stop retrieving new data from it.
6. Subscriptions & billing
Looni offers a free plan and a paid plan:
- Free plan — available at no cost ($0).
- Pro plan — CAD $4.99 per month, with a 14-day free trial for new subscribers.
Paid subscriptions are processed by our payment provider, Stripe. By starting a Pro subscription, you authorize us, through Stripe, to charge your chosen payment method on a recurring monthly basis until you cancel.
Key billing terms:
- Your Pro subscription auto-renews monthly until cancelled. Each renewal charges the then-current monthly fee.
- You may cancel anytime before your next renewal date through your account settings. Cancellation takes effect at the end of the current billing period, and you keep Pro access until then.
- If you cancel during your 14-day free trial, you will not be charged.
- Founding waitlist members receive Pro free as described in the offer they accepted, for as long as that offer remains in effect.
- Applicable taxes (such as GST/HST) may be added to your subscription fee based on your province of residence.
Except where required by applicable law, fees already paid are generally non-refundable. We may change our prices from time to time; we will give you reasonable notice before any price change affects you, and you may cancel if you do not agree to the new price.
7. Acceptable use
You agree to use the Service lawfully and only for its intended purpose. You will not:
- use the Service for any unlawful, fraudulent, or harmful purpose;
- misuse, disrupt, or attempt to gain unauthorized access to the Service, our systems, or other users' accounts;
- scrape, harvest, or collect data from the Service by automated means;
- reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent this restriction is prohibited by law;
- introduce viruses, malware, or other harmful code; or
- resell, sublicense, or commercially exploit the Service without our written permission.
We may suspend or terminate access that we reasonably believe violates this section.
8. Third-party services
The Service relies on and integrates with third parties, including your financial institutions, data aggregators (such as Plaid and Flinks), and payment processors (such as Stripe). These third parties operate under their own terms and privacy policies, which govern your relationship with them.
Looni does not control these third parties and is not responsible for their acts, omissions, decisions, data practices, service interruptions, or outages. If a third-party provider experiences downtime or changes its services, parts of Looni may be temporarily unavailable or limited, and we are not liable for the resulting impact.
9. Disclaimers
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any insight or estimate it produces will be accurate or complete.
Any savings figures, projections, or opportunities shown in Looni are illustrative estimates only. They are not promises or guarantees of any actual outcome, and your real results will vary. Nothing in the Service constitutes financial, investment, tax, or legal advice. You are solely responsible for your financial decisions.
10. Limitation of liability
To the maximum extent permitted by applicable law, Looni and its directors, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or CAD $50.
Nothing in these Terms excludes or limits any rights or remedies that cannot be excluded or limited under the consumer protection laws of Ontario or Canada. Some limitations may not apply to you, and in that case the limitations apply only to the fullest extent permitted by law.
11. Indemnification
You agree to indemnify and hold harmless Looni and its directors, officers, and employees from any claims, losses, liabilities, and reasonable expenses (including legal fees) arising out of your breach of these Terms, your misuse of the Service, or your violation of any law or the rights of a third party, except to the extent caused by our own negligence or wrongdoing.
12. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service, generally with reasonable notice where practicable.
When your account ends, your right to use the Service stops. We will handle any personal information we hold about you in accordance with our Privacy Policy, including how long we retain it and how you can request its deletion. Sections of these Terms that by their nature should survive termination (such as disclaimers, limitation of liability, and indemnification) will continue to apply.
13. Governing law
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. You agree that the courts located in Ontario will have jurisdiction over any such dispute, subject to any consumer protection rights you may have to bring a claim in your home province.
14. Changes to these terms
We may update these Terms from time to time. When we do, we will post the revised version here and update the "Last updated" date at the top of this page. If the changes are material, we will take reasonable steps to notify you. Your continued use of the Service after changes take effect means you accept the updated Terms.
